REVOLUTION MEMBERSHIP PROGRAM TERMS AND CONDITIONS
IMPORTANT: READ THESE TERMS AND CONDITIONS, IN PARTICULAR, THE MANDATORY BINDING ARBITRATION; WAIVER OF CLASS ACTION SECTION HEREIN, CAREFULLY BEFORE ACCEPTING. THESE TERMS AND CONDITIONS HAVE LEGAL CONSEQUENCES THAT WILL AFFECT YOUR LEGAL RIGHTS AND THAT WILL LIMIT YOUR ABILITY TO BRING FUTURE LEGAL ACTIONS.
I understand and agree that the terms and conditions set forth below constitute a binding agreement (this “Agreement”) among me (“I”, “me” or “Member”), NPS LLC, and Kraft Soccer LLC (the “Revolution”).
The Revolution Membership Program (the “Program”) provides members (each, a “Member”) with tickets to each Revolution home match and access to Revolution deals, offers, and events (each, a “Membership”), provided the Member remains in good standing under this Agreement. The Program operates on an annual basis; however, individuals may join the Program at any time during the calendar year (the “Commencement Date”), subject to availability. Memberships automatically renew unless terminated by the Member or the Revolution. The Revolution reserve the right to modify Program benefits at any time without notice. Memberships do not grant Members or their guests any rights or privileges regarding admission to Gillette Stadium beyond those of other ticket holders. All Memberships are subject to the applicable Gillette Stadium rules and policies, as they may be amended from time to time (the “Policies”), including, without limitation, the Gillette Stadium Ticket Terms and Conditions, the Gillette Stadium Fan Health Promise, and the Gillette Stadium Code of Conduct. The Member acknowledges that tickets issued under a Membership are a revocable license to use the applicable seats, not a lease or other property interest. This Agreement does not create any property right or other interest in favor of the Member.
Account
Members must maintain an account in Ticketmaster Account Manager (the “Account”) to access tickets associated with their Memberships and to update contact information. The Account holder controls all Memberships linked to the Account and is responsible for all payments. Members must keep a valid credit or debit card on file in the Account. The card on file will be charged on the Commencement Date and thereafter in accordance with the payment plan selected by the Member and this Agreement. Members are responsible for keeping Account contact information current and must notify New England Revolution Ticketing of any changes to the credit or debit card information associated with the Account.
Membership Payments
I authorize the Revolution or its designee to automatically charge the credit card or debit card in my Account for my Membership payments, which includes any optional purchases made in conjunction with Membership (e.g., Optum Field Lounge access). For all Membership payments, the foregoing payment authorization shall remain in effect for so long as my Membership remains in effect. As a Member, I warrant that I have the authority to authorize charges to the credit card or debit card in my Account for the purpose of making Membership payments. I agree that if the credit card or debit card information on my Account changes, I will promptly notify New England Revolution Ticketing with updated payment information and this authorization will remain in effect.
Membership pricing is based on seat location. Members shall pay for their Memberships in monthly payments, unless a Member expressly elects to pay on an annual basis, in accordance with the provisions set forth below. The Revolution will communicate to Members the Membership rates (both monthly and annual rates) for the upcoming season based on seat location (such then-current Membership rate to be defined as the “Membership Rate”) at least 150 days prior to such season. Members may elect to pay on an annual basis on the Commencement Date or at least 120 days prior to the start of each season (each, a “Renewal Date”). Any Member who fails to make an election shall be deemed to have chosen to make monthly payments. Members who elect to pay on an annual basis will be charged the annual Membership Rate on the Commencement Date and on each Renewal Date thereafter. Members who elect to pay on a monthly basis and join the Program prior to a Renewal Date will be charged the monthly Membership Rate on the Commencement Date, which will be applied towards the first month’s payment under the Membership on the Renewal Date, and thereafter such Members will be charged the monthly Membership Rate on the 15th day of each month during the Membership.. Members who elect to pay on a monthly basis and join the Program after a Renewal Date will be charged an amount equal to the monthly Membership Rate multiplied by the number of months since the most recent Renewal Date on the Commencement Date, and thereafter such Members will be charged the monthly Membership Rate on the 15th day of each month during the Membership. If a Member joins the Program after the start of a season, the Membership Rate for that initial season will be prorated to cover only the scheduled Revolution home matches remaining as of the Commencement Date.
Under all payment plans, payments are due and/or automatically billed on the dates specified regardless of match cancellations or postponements. Refunds and exchanges will be handled according to the Gillette Stadium Ticket Terms and Conditions, as they may be modified from time to time.
Members whose credit card or debit card payments are rejected will have 21 days following the rejected payment to provide a valid credit card or debit card on their Account and to pay all outstanding Membership balances. The Revolution reserve the right to charge a processing fee for any amount incurred by the Revolution when a charge authorized by the Member is rejected. Additionally, the Revolution reserve the right to restrict entry to Revolution home matches and/or revoke Membership privileges if scheduled payments are not made or if any authorized charge is refused. On the 22nd day following a rejected payment, all Membership(s) associated with an Account will be cancelled. At that time, all active tickets on the Account will be revoked and deactivated, and access to all Membership benefits and amenities will be discontinued. Members wishing to have their Membership(s) reinstated must purchase a new Membership(s).
I understand and agree that the Revolution are not liable in any way for any erroneous billing statements, incorrect charges or other error of any kind made or arising as a result of any act by a third party and due to no fault of the Revolution. For any error related to charges or billing of any kind not made or caused by the Revolution, I acknowledge and agree that the Revolution’s responsibility to remedy the error will only arise if and when the Revolution receive timely notice and it is within their reasonable control to do so.
Playoffs
Tickets to Revolution home playoff matches are not included in the Program. Members may purchase tickets in their regular-season seat locations for all Revolution home playoff matches (excluding the MLS Cup Championship) at the then-current playoff ticket price. Unless a Member opts out as described below, the Member’s Account will be automatically charged for each Revolution home playoff match within one week after the match is confirmed and before the match date. Members will be sent playoff ticket pricing and an opt-out notice approximately 30 days before the first MLS playoff match each year. To opt out, a Member must either (i) complete the Playoff Opt-Out form available at www.revolutionsoccer.net within 15 days after receiving the opt-out notice, or (ii) mail the Playoff Opt-Out form by U.S. Certified Mail (postmarked within 15 days after receiving the opt-out notice), return receipt requested, to New England Revolution Ticketing, One Patriot Place, Foxboro, MA 02035. If a Member opts out, the Member’s Account will not be charged, the Member’s playoff tickets will be invalidated, and the Member will have no further opportunity, through the Member’s Membership(s), to purchase tickets to Revolution home playoff matches for that season.
CONCACAF Champions Cup Competition
Tickets to Revolution home CONCACAF Champions Cup matches are not included in the Program. Members may purchase tickets in their regular-season seat locations for all Revolution home CONCACAF Champions Cup matches at the then-current CONCACAF Champions Cup ticket price. Unless a Member opts out as described below, the Member’s Account will be automatically charged for each Revolution home CONCACAF Champions Cup match within one week after the match is confirmed and before the match date. Members will be sent CONCACAF Champions Cup ticket pricing and an opt-out notice approximately 30 days before the first CONCACAF Champions Cup match each year. To opt out for a given year, a Member must either (i) complete the CONCACAF Champions Cup Opt-Out form available at www.revolutionsoccer.net within 15 days after receiving the opt-out notice, or (ii) mail the CONCACAF Champions Cup Opt-Out form by U.S. Certified Mail (postmarked within 15 days after receiving the opt-out notice), return receipt requested, to New England Revolution Ticketing, One Patriot Place, Foxboro, MA 02035. If a Member opts out, the Member’s Account will not be charged, the Member’s CONCACAF Champions Cup tickets will be invalidated, and the Member will have no further opportunity, through the Member’s Membership(s), to purchase tickets to Revolution home CONCACAF Champions Cup matches for that year.
Leagues Cup Competition
Tickets to Revolution home Leagues Cup matches are not included in the Program. Members may purchase tickets in their regular-season seat locations for all Revolution home Leagues Cup matches at the then-current Leagues Cup ticket price. Unless a Member opts out as described below, the Member’s Account will be automatically charged for each Revolution home Leagues Cup match within one week after the match is confirmed and before the match date. Members will be sent Leagues Cup ticket pricing and an opt-out notice approximately 30 days before the first Leagues Cup match each year. To opt out for a given year, a Member must either (i) complete the Leagues Cup Opt-Out form available at www.revolutionsoccer.net within 15 days after receiving the opt-out notice, or (ii) mail the Leagues Cup Opt-Out form by U.S. Certified Mail (postmarked within 15 days after receiving the opt-out notice), return receipt requested, to New England Revolution Ticketing, One Patriot Place, Foxboro, MA 02035. If a Member opts out, the Member’s Account will not be charged, the Member’s Leagues Cup tickets will be invalidated, and the Member will have no further opportunity, through the Member’s Membership(s), to purchase tickets to Revolution home Leagues Cup matches for that year.
Optum Field Lounge, Cross Insurance Club and Celebration Beer Hall All-Inclusive Access. Members may be offered, based on availability, the ability to purchase access to the Optum Field Lounge (the “Lounge”), to an exclusive area of the Cross Insurance Club that will include unlimited food and beverage (the “Club”), and to the Celebration Beer Hall (the “Hall”, together with the Lounge and the Club, the “Premium Areas”), and as part of their Membership. Access to each of the Premium Areas is conditioned on Member purchasing access to each of the Premium Areas for each seat on the Membership Account, and such Membership remaining in good standing.
If offered, access to any of the Premium Areas, as applicable, will be available to Member upon payment of an additional amount to be established by the Revolution. Access to the Premium Areas for a match are conditioned on having a valid ticket to such match, and do not confer upon Members or their guests any greater rights and privileges with respect to admission to Gillette Stadium than afforded to other holders of tickets for admission thereto.
The Revolution will provide Members who purchase access to Premium Areas with information, rules, regulations, and policies regarding the Premium Areas (the “Premium Area Policies”), including amenities, hours of operation, and code of conduct. Failure to comply with either the Policies or the Premium Area Policies may result in termination of access to the Premium Areas, and/or termination of Membership(s), in Revolution’s sole discretion.
Access to the Premium Areas are offered on a season-long basis and must be purchased at the season-long pricing. The season-long pricing provides access to the Premium Areas for the same Revolution home matches that are part of the Membership package. Access to the Premium Areas may not be available for certain Revolution playoff, CONCACAF Champions Cup, and/or Leagues Cup matches. If access is available for such matches, Members will have the option to purchase access at an additional cost, based on the cost and terms communicated by the Revolution.
Members who purchase access to the Premium Areas will have such access automatically continue unless terminated by the Member or the Revolution. Payments for access to the Premium Areas will be billed automatically on a monthly or annual basis, based on the Member’s payment selection for the Membership. At least 150 days prior to each season, the Revolution will communicate the rates to access the Premium Areas (both monthly and annual rates), and will provide Members with at least 30 days notice to opt-out of such access. Opting-out of access to Premium Areas will not affect Membership status. NOTE that this opt-out option does not apply to Members who automatically receive access to Premium Areas as part of their existing Membership package (e.g. certain Members with VIP Field Box and/or Presidents Club tickets).
Members will have the credit card or debit card in their Account automatically charged for access to Premium Areas on the same dates of Membership payments as set forth above in the “Membership Payments” section. All terms and conditions set forth in the “Membership Payments” section above also apply to payments for access to Premium Areas.
Transferring Memberships
The primary name listed on the Account is the sole recipient of benefits associated with the Membership(s). A request to transfer Membership(s) must be made by the Account holder of record. Transfers will be allowed at the sole discretion of the Revolution and will be subject to execution of a transfer document provided by the Revolution.
Cancellation of Membership; Remaining Funds
Memberships may be cancelled at any time by either the Revolution or the Member. Members may cancel their Memberships by (i) completing the Cancellation Form available at www.revolutionsoccer.net or (ii) sending the Cancellation Form via U.S. Certified Mail, return receipt requested, to New England Revolution Ticketing, One Patriot Place, Foxboro, MA 02035. Members’ Accounts and Membership(s) will remain active for 29 days following the receipt of the Cancellation Form. All payments scheduled to occur within this 29-day period will be collected. On the 30th day following receipt of the Cancellation Form, the Membership(s) will be cancelled and no additional payments will be collected. All active tickets on the Account will be revoked and deactivated, and access to all Membership benefits and amenities will be discontinued. No refunds will be issued upon cancellation of the Membership(s). Remaining funds in the Account, including any Deposit, may be applied toward the purchase of tickets to a Revolution home match(es) until no funds remain in the Account. Tickets must be purchased through the Revolution ticket office.
Termination
The Revolution may terminate a Member’s Membership or revoke a Member’s access to the Premium Areas at any time upon written notice to the Member if the Member is not in good standing. A Member will be deemed not in good standing if the Member, or any person using tickets or accessing benefits through the Member’s Account violates or otherwise fails to comply with this Agreement, the Policies, or, if applicable, the Premium Area Policies. Nothing in this Section limits any other rights or remedies available to the Revolution under this Agreement.
MANDATORY BINDING ARBITRATION; WAIVER OF CLASS ACTION: This Agreement shall be construed and enforced in accordance with the laws of the Commonwealth of Massachusetts, without regard to the conflict of laws provisions of such law. On behalf of myself, my guests, or any other person who uses tickets issued to me to attend an event at Gillette Stadium (“Event”), I agree that any dispute between or among me, my guests, or any other person who uses tickets issued to me to attend an Event, the Town of Foxboro, Kraft Soccer LLC, NPS LLC, and any of their parents, affiliates, subsidiaries, owners, officers, directors, employees, agents, and independent contractors relating to my tickets or any issues that may arise in connection with this Agreement or any Event shall be resolved by arbitration before JAMS according to the rules of that forum, except that I may pursue a claim in small claims court so long as the claim is pending only in that court, and so long as that claim is not joined with any other claim in any court. I specifically waive the right to participate in a representative capacity or as a member of any class of claimants pertaining to any claim. I understand that the arbitrator’s decision will be final and binding, and that other rights that I may have if I went to court may not be available in arbitration.
If any provision hereof is invalid or unenforceable in any jurisdiction, to the fullest extent permitted by law that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect and enforceable in such jurisdiction, and shall be construed in order to carry out the intentions of this Agreement as nearly as possible. The invalidity or unenforceability of any provision hereof in one jurisdiction shall not affect the validity or enforceability of such provision in any other jurisdiction. Waiver of any rights by NPS LLC or Kraft Soccer LLC on one or more occasions shall not constitute a waiver of any such right on any other occasion.
I agree that, except to the extent that any terms of this Agreement are expressly overridden by the terms of a separate agreement signed by me and NPS LLC, this Agreement constitutes the sole and entire agreement between me, NPS LLC, and Kraft Soccer LLC with respect to attendance at a ticketed Gillette Stadium Event, and supersedes all other understandings, agreements, representations and warranties, both written and oral, with respect to attendance at a ticketed Gillette Stadium Event, regardless of whether I have been issued a ticket to such Event.
